1.1. The following terms apply to the products and services provided by Canwi Australia Pty Ltd ACN 679 628 829.

1.2. In this document:

(a) “Content” means all information, personally identifiable information, data, documents and creative expressions, and includes, without limitation, personal data, planning scenarios, calculations, projections, written posts, replies, and comments, information, data, text, software, scripts, executable files, graphics, and interactive features, any of which may be generated, provided, or otherwise made accessible on or through the Service;

(b) “Service” refers to https://canwi.com.au and the Canwi personal planning platform and application;

(c) the words “we”, “our”, “us” and “Canwi” refers to Canwi Australia Pty Ltd (ACN 679 628 829), the operator of the Service and all of its related entities; and

(d) the words “you” and “your” means you as an individual user of the Service.

1.3. These End User Terms should be read in conjunction with, and you agree to, the:

(a) Canwi End User Privacy Policy, which is available at https://canwi.com.au/privacy;

(b) any supplementary terms agreed, or incorporated by reference, in the Service; (collectively, the ‘Agreement’).

1.4. By using or accessing the Services, you agree to all the terms and conditions of the Agreement, and if you do not agree to all the terms and conditions of the Agreement you should not and are not permitted to use the Services.

2.1. Canwi provides a digital personal planning platform and tools designed to provide indicative, scenario-based modelling to help you plan and manage your money, including cash flow projections, milestone tracking, scenario planning, and goal setting.

2.2. The Service is intended for general, strategic planning purposes personal planning purposes and is designed for use by individuals in Australia.

2.3. All projections and, calculations, and recommendations provided through the Service are for informational and planning purposes only and do not constitute advice of any kind. The Service makes simplifications that mean results cannot precisely match real-world outcomes or predict future economic circumstances.

2.4. Canwi does not provide investment advice, tax advice, legal advice, or professional advisory services of any kind.

2.5. The Service may may include references to third-party services or tools (including mortgage brokers, financial advisors, insurance advisors, buyer’s agents, accountants, or investment platforms), but these references should not be construed as endorsements or product recommendations

2.6. You should seek independent professional advice from appropriately licensed advisors before making any decisions about financial products based on information you have obtained through the Service.

3.1. The Service provides calculators, projection tools, and reference information including historical rates, market statistics, average costs, and other information relevant to personal planning.

3.2. Except where otherwise noted, all calculators, projections, and information provided through the Service:

(a) are for informational purposes only;

(b) have not been independently verified;

(c) may contain errors or inaccuracies;

(d) should not be used as the sole basis for making decisions;

(e) are based on general assumptions that may not apply to your circumstances;

(f) may be sourced from third parties and external data providers;

(g) may be outdated or subject to change;

(h) are provided “as is” without warranties of any kind; and

(i) should be independently verified before making any decisions based on such information.

3.3. Calculators and projections generate estimates and scenarios, not guarantees of future outcomes.

3.4. Canwi makes a series of “Scenarios” available to users, which are pre-programmed planning models based on general demographic characteristics. Canwi does not, and cannot, warrant the applicability of these Scenarios to your circumstances, or the correctness of these models based on your inputs.

4.1. Any information you provide to us, either intentionally or incidentally, via the Service is subject to our Privacy Policy, which governs our collection and use of your information. You agree that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information.

4.2. We collect personal information about you in order to provide you with the Service and for purposes otherwise set out in our Privacy Policy.

4.3. We may disclose that information to third parties that help us deliver our services (including information technology suppliers, communication suppliers and our business partners) or as required by law. If you do not provide this information, we may not be able to provide all of our services to you.

4.4. We may also disclose your personal information to recipients that are located outside of Australia, subject to appropriate safeguards.

4.5. All information provided to us must:

(a) be accurate and correct to the best of your knowledge; and

(b) not infringe on the rights of any third parties.

4.6. You are responsible for keeping your account access credentials secure and are responsible for all use and activity carried out using them.

4.7. You acknowledge that the accuracy of any projections and planning tools depends on the accuracy of the information you provide.

5.1. We may charge fees for access to the Service or specific features of the Service.

5.2. Any fees payable will be as disclosed on the Service from time to time.

5.3. We may generate revenue through referral arrangements with third-party service providers, including but not limited to insurance providers, loan providers, and investment platforms.

5.4. Any referral arrangements will be disclosed to you, and you are not obligated to use any third-party services recommended through the Service.

6.1. You may not do any of the following while accessing or using the Services:

(a) access, tamper with, or use non-public areas of the Services, or the computer or delivery systems of Canwi and/or its service providers;

(b) probe, scan, or test any system or network (particularly for vulnerabilities), or otherwise attempt to breach or circumvent any security or authentication measures;

(c) access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by Canwi (and only pursuant to those terms and conditions);

(d) scrape the Services, and particularly scrape Content from the Services, without the express prior written consent of Canwi;

(e) use the Services to send altered, deceptive, or false source-identifying information;

(f) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, by sending a virus to, spamming, or overloading the Services, or by scripted use of the Services in such a manner as to interfere with or create an undue burden on the Services;

(g) use the Service for any purpose other than personal planning;

(h) provide false or misleading information that could affect the accuracy of projections or planning tools; or

(i) use the Service in any way that violates applicable laws or regulations;

reverse engineer, decompile, disassemble, or otherwise attempt to derive the source (j) code of the Service; or

(k) use the Service if you are under 18 years of age.

6.2. The Service is designed for individuals who are Australian tax residents and may not be suitable for other circumstances.

7.1. For Content uploaded by you, or given to us, for use on the Service, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use such Content for the purpose of providing the Service to you and improving the Service.

7.2. You represent and warrant that:

(a) you have obtained all necessary rights to submit all Content to the Service and to grant the rights granted to us in these Terms; and

(b) all Content and its submission and use as you authorize in these Terms will not violate:

(i) any Laws,

(ii) any third-party intellectual property, privacy, publicity or other rights, or

(iii) any of your or third-party policies or terms governing the Content.

7.3. Canwi assumes no responsibility or liability for any content uploaded by you to the Service, and you are solely responsible for the Content and the consequences of submitting and using it with the Service.

7.4. Unless otherwise indicated, all materials on the Service, and the platform itself, are protected by copyright, trade marks and/or other intellectual property rights owned by or licensed to Canwi.

7.5. You may not reproduce, duplicate, copy, sell, re-sell or otherwise exploit any portion of the Service for commercial purposes without our express written permission.

8.1. The information and tools provided through the Service are for general information and planning purposes only. While we endeavour to keep the information up to date and the tools functioning correctly, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability of the Service, the information, or the projections for any purpose.

8.2. We make no representations or warranties regarding the accuracy, completeness, or suitability of any projections, calculations, or information provided through the Service for your particular circumstances.

8.3. Any reliance you place on information or projections obtained through the Service is strictly at your own risk.

8.4. The Service provides tools for planning scenarios and projections. These are based on the information you provide and various assumptions. Actual outcomes may differ significantly from any projections or scenarios generated by the Service.

8.5. Canwi shall not be liable for any losses, investment decisions, or other consequences arising from your use of the Service or reliance on information or projections provided through the Service.

8.6. The Service may contain links to third-party service providers or other websites. Canwi is not responsible for the services, content, or practices of any such third parties. Any dealings you have with third-party service providers are solely between you and them.

8.7. Every effort is made to ensure the efficient operation of the Service, but Canwi takes no responsibility for the Service becoming temporarily unavailable due to technical issues or problems beyond our control.

9.1. Canwi may, in its absolute discretion, terminate this Agreement and remove you from the Service.

9.2. Canwi may, in its absolute discretion, refuse service to any person.

9.3. Canwi may, with or without notice to you and in Canwi’s sole discretion, issue you a warning, restrict your activities on the Service, temporarily suspend, indefinitely suspend or terminate your account if:

(a) you have, or Canwi believes that you have, breached this Agreement;

(b) Canwi is unable to verify or authenticate any information you have provided;

(c) Canwi believes that your actions may cause harm to you, other users, third parties or Canwi; or

(d) Canwi reasonably believes that any of your information is incorrect or misleading in a way that affects the Service; or

(e) you fail to pay any fees when due.

10.1. If the whole or any part of any clause of this Agreement is illegal or unenforceable, it will be severed from this Agreement and will not affect the continued operation of the remaining provisions of this Agreement.

10.2. This Agreement:

(a) accurately reflects the agreement between the parties as to its subject matter;

(b) records the entire agreement between the parties with respect to the subject matter of the Agreement;

(c) supersedes all prior representations and agreements in connection with that subject matter; and

(d) may only be altered in writing or through updated terms published on the Service with reasonable notice.

10.3. The failure of Canwi at any time to insist on performance of any obligation under this Agreement is not a waiver of its right to insist on performance at any other time.

10.4. This Agreement does not create a relationship of employment, agency or partnership between the parties.

10.5. This Agreement is governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia.
